Terms of service

These terms define the rules for services provided by Mateusz Bryla Agencja Marketingowa, ul. Zlotego Deszczu 2, 70-885 Szczecin, Poland, VAT ID: 9552579416, hereinafter referred to as the Contractor or OffScript.

The Client is any individual, company or organizational entity ordering the services.

Using the services means accepting these terms.

The website may also include free tools, audits or analyzers. Using them does not create a paid service agreement.

• Development and implementation
• Branding and visual identity
• Copywriting and communication strategy
• Strategic consulting

An agreement is concluded once the Client accepts the quotation in writing, including by email.

Before work starts, we provide a detailed quotation covering scope, timeline and price.

Any scope change after acceptance requires agreement from both parties and may affect the timeline and price.

Prices in the quotation are net prices. VAT is added in accordance with applicable law.

In the event of delayed payment, we reserve the right to charge statutory interest and pursue outstanding amounts.

• 70% of the project value is payable before work begins
• 30% of the project value is payable before production launch
• The standard invoice payment term is 7 days

The Contractor performs the services with due care and in line with the agreed scope and schedule.

The Client agrees to provide the required materials, respond within a reasonable time and cooperate as needed to complete the project.

Delays caused by missing materials or delayed decisions from the Client may extend the delivery timeline.

The design is presented for approval before moving into development.

Copyright to the final project transfers to the Client once 100% of the agreed payment has been made.

Until full payment is received, all materials remain the property of the Contractor.

Unless otherwise agreed in writing, the Contractor may present completed work in its portfolio.

The Contractor provides a 30-day warranty from the date of launch.

The warranty covers technical issues caused by the Contractor.

• The warranty does not cover Client or third-party interference in the code
• It does not cover issues caused by updates to external systems or services
• It does not cover new functionality outside the agreed scope

Once the project has started, the Client cannot unilaterally cancel the agreement and expect a refund of payments already made.

A project is considered started when the first installment has been received.

Payments already made are non-refundable.

• lack of payment within the agreed deadline
• lack of cooperation preventing project delivery
• breach of these terms by the Client

The Contractor's total liability is limited to the value of the remuneration for the specific project.

• For content provided by the Client
• For use of the website contrary to its intended purpose
• For downtime caused by hosting providers or third-party services
• For lost profits or indirect damages

Both parties agree to keep confidential any commercial and technical information obtained during cooperation.

This obligation does not apply to publicly available information or disclosures required by law.

We may provide free tools and materials on the website on an "as is" basis without any guarantee of full accuracy.

Using those tools does not create a service agreement and does not obligate the user to purchase paid services.

We reserve the right to modify or remove those tools at any time.

Any matters not covered by these terms are governed by Polish law.

Any disputes will be resolved by the court having jurisdiction over the Contractor's registered office.

We may update these terms, and changes become effective once published on the website. They do not apply retroactively to agreements concluded earlier.
